  民法典颁布实施为动产抵押权制度提供了新的规范框架,本文旨在系统分析民法典中动产抵押权的设立与效力问题。研究基于对民法典相关条款的深入解读,结合比较法视野和实证分析方法,探讨动产抵押权在现行法律体系下的运行机制。通过对立法沿革、司法实践及理论争议的梳理,发现民法典在动产抵押登记对抗主义模式下实现了交易安全与效率的平衡,创新性地引入了正常经营买受人规则,明确动产抵押权的优先顺位规则,完善了浮动抵押制度。研究结果表明,民法典确立的动产抵押权设立要件更加科学合理,简化了权利公示程序,强化了善意第三人保护。本文的主要贡献在于揭示了民法典动产抵押制度的内在逻辑,为司法实践提供了理论支持,也为后续立法完善提供了参考依据,特别是在解决动产重复抵押、竞存抵押等复杂问题方面提出了建设性意见,有助于推动我国担保物权制度的现代化进程。

Abstract

  The enactment and implementation of the Civil Code have provided a new regulatory fr amework for the movable property mortgage right system. This paper aims to systematically analyze the establishment and effectiveness of movable property mortgage rights under the Civil Code. Based on an in-depth interpretation of relevant provisions in the Civil Code, combined with comparative law perspectives and empirical analysis methods, this study explores the operational mechanisms of movable property mortgage rights within the current legal system. By reviewing legislative evolution, judicial practices, and theoretical controversies, it is found that the Civil Code achieves a balance between transactional security and efficiency under the registration contestability model for movable property mortgages. Innovatively, it introduces the rule of normal course purchaser, clarifies the priority rules for movable property mortgage rights, and improves the floating charge system. The research results indicate that the establishment requirements for movable property mortgage rights established by the Civil Code are more scientifically reasonable, simplifying the rights disclosure procedures and strengthening the protection of bona fide third parties. The main contribution of this paper lies in revealing the intrinsic logic of the movable property mortgage system in the Civil Code, providing theoretical support for judicial practice, and offering reference for subsequent legislative improvements, especially in addressing complex issues such as duplicate mortgages and concurrent mortgages on movable property, thereby contributing to the modernization of China’s security interest system.
