电子商务合同法律问题探讨

Abstract
With the rapid development of e-commerce, e-commerce contract has become an important part of commercial transactions. This paper deeply discusses the legal problems faced by e-commerce contracts, and puts forward the corresponding solutions. This paper introduces the legal definition and characteristics of electronic commerce contract, emphasizes the characteristics of electronic commerce contract without time and place limitation, and compares it with traditional contract. This paper analyzes in detail the legal problems faced by e-commerce contract in the aspects of establishment, validity, performance and dispute resolution. In the aspect of contract formation, the constitutive elements of electronic offer and acceptance are discussed. In terms of the validity of contract, the legal validity of electronic signature and the certainty of contract content are discussed. In terms of contract performance, it pays attention to the legal problems of key links such as electronic payment and logistics distribution. In terms of contract disputes, the applicability and challenges of online arbitration and litigation are analyzed. The corresponding solution is proposed in this paper. In terms of contract formation, it is suggested to improve the legal provisions of electronic offer and acceptance to ensure the legality and validity of contracts. In terms of the validity of contracts, strengthen the legal status of electronic signatures and improve the certainty of contract content; In terms of contract performance, promote the construction of laws and regulations on electronic payment and logistics distribution to ensure the safety and convenience of transactions; In terms of contract disputes, the online arbitration mechanism will be promoted to improve the efficiency and fairness of dispute resolution. The discussion on the legal issues of e-commerce contract is of great significance to promote the healthy development of e-commerce. Through in-depth analysis of the characteristics of e-commerce contracts and the legal problems faced, and put forward the corresponding solutions, it can provide legal support for the signing of e-commerce contracts, performance and dispute resolution, and further promote the prosperity of e-commerce.
