摘 要
公司法人人格否认制度作为现代公司法的重要组成部分,旨在防止股东滥用有限责任原则损害债权人利益和社会公共利益。本文以全球范围内公司法人制度的广泛应用为背景,探讨了在经济全球化和复杂商业环境下,如何合理界定公司法人人格否认制度的适用条件。当前我国在适用公司法人人格否认制度时存在标准模糊、操作性不足等问题,亟需构建更加科学、明确的判断体系。为此,本文提出从“资本显著不足”“人格混同”“过度控制”三个核心维度完善适用条件,并引入动态评估模型以增强制度灵活性与适应性。通过细化适用条件并强化司法裁量权的规范性,能够有效平衡股东权益保护与债权人利益保障之间的关系,从而促进市场经济健康稳定发展。此研究为我国公司法修订及相关司法解释的完善提供了重要参考依据,同时对推动法治化营商环境建设具有积极意义。

Abstract
As an important part of modern company law, the system of denial of corporate personality aims to prevent shareholders from abusing the principle of limited liability to damage the interests of creditors and social public interests. Based on the wide application of corporate personality system in the world, this paper discusses how to reasonably define the applicable conditions of corporate personality denial system in the context of economic globalization and complex business environment. At present, there are some problems in the application of the denial of corporate personality in our country, such as fuzzy standards and insufficient operability, so it is urgent to build a more scientific and clear judgment system. Therefore, this paper proposes to improve the application conditions from the three core dimensions of "significant capital deficiency", "personality confusion" and "excessive control", and introduces a dynamic evaluation model to enhance the flexibility and adaptability of the system. By refining the applicable conditions and strengthening the standardization of judicial discretion, the relationship between the protection of shareholders' rights and interests and the protection of creditors' interests can be effectively balanced, so as to promote the healthy and stable development of market economy. This study provides an important reference for the revision of the company law and the improvement of relevant judicial interpretations, and has positive significance for promoting the construction of the business environment under the rule of law.
