摘 要
《民法典》的颁布实施为我国动产抵押制度提供了新的法律框架,该制度作为担保物权的重要组成部分,在促进资金融通、保障债权实现方面发挥着不可替代的作用。本研究旨在深入剖析《民法典》中动产抵押制度的法律构造与实践应用,通过文献研究法、比较分析法以及案例分析法等方法,对动产抵押的设立、公示、效力及实现等方面进行系统梳理。研究发现,《民法典》在动产抵押登记对抗主义模式下,明确了动产抵押权自抵押合同生效时设立,未经登记不得对抗善意第三人,这一规定有利于平衡各方利益。同时,《民法典》扩大了可抵押动产范围,简化了抵押登记流程,提高了交易效率。此外,对于浮动抵押制度的完善,允许企业以其现有或将有的生产设备、原材料等财产设定抵押,并且在实现抵押权时按照一定顺序清偿债务,这为中小企业融资提供了更多便利。

Abstract
The promulgation and implementation of the Civil Code provides a new legal fr amework for the chattel mortgage system in China. As an important part of the security real right, the system plays an irreplaceable role in promoting financial financing and guaranteeing the realization of creditor's rights. This study aims to deeply analyze the legal structure and practical application of the chattel mortgage system in the Civil Code, and to systematically analyze the establishment, publicity, effectiveness and realization of the chattel mortgage through literature research, comparative analysis and case analysis methods. It is found that the Civil Code, under the adversarial mode of chattel mortgage registration, makes it clear that the chattel mortgage is established when the mortgage contract takes effect, and shall not fight against a bona fide third party without registration, which is conducive to balancing the interests of all parties. At the same time, the Civil Code expands the scope of mortgageable movable property, simplifies the mortgage registration process, and improves the transaction efficiency. In addition, the improvement of the floating mortgage system allows enterprises to set up the mortgage with their existing or existing production equipment, raw materials and other property, and to pay off the debts in a certain order when realizing the mortgage right, which provides more convenience for the financing of small and medium-sized enterprises.
