摘    要

本文以股权激励制度为切入口,深入探讨了其在企业治理中的作用和意义。首先,分析了股权激励制度的现状和发展趋势,指出股权激励已成为企业吸引和留住人才、提高企业绩效的常用手段。接着,探讨了股权激励制度对企业治理结构的影响,尤其是对企业治理提升、业绩提高的积极作用,同时也指出了存在的问题和影响。最后,提出了股权激励制度对企业治理的优化建议,包括适度激励员工、完善考核体系、规范制度,旨在提高股权激励制度的执行效果和推动企业治理的优化升级。本文的研究对于企业实际操作给予了有针对性的建议,同时也为股权激励制度在企业治理中的应用提供了新的思路和启示。

Abstract 

This paper takes the equity incentive system as the starting point and probes into its function and significance in enterprise governance. Firstly, it analyzes the current situation and development trend of equity incentive system, and points out that equity incentive has become a common means for enterprises to attract and retain talents and improve corporate performance. Then, it discusses the influence of equity incentive system on corporate governance structure, especially the positive effect on corporate governance and performance improvement, and also points out the existing problems and influence. Finally, the paper puts forward suggestions on the optimization of the equity incentive system to enterprise governance, including appropriate incentive to employees, improve the assessment system, standardize the system, in order to improve the implementation effect of the equity incentive system and promote the optimization and upgrading of enterprise governance. The research of this paper gives specific suggestions for the actual operation of enterprises, and also provides new ideas and enlightenment for the application of equity incentive system in enterprise governance.
