摘要：本研究旨在探讨国有中小企业股份合作制改造的理论基础、现状分析、存在的问题以及模式和路径。通过对国内外相关研究的综述，本文首先介绍了国有中小企业的定义和特点，以及股份合作制的定义和特点。然后，分析了国有中小企业股份合作制改造的发展历程，并探讨了其必要性和可行性。接着，对国有中小企业股份合作制改造的现状进行了详细分析，指出了进展缓慢和效果不明显的问题。在此基础上，本文提出了国有中小企业股份合作制改造存在的问题，包括股权结构不合理、公司治理机制不完善和职工权益保障不到位等。最后，本文提出了国有中小企业股份合作制改造的模式和路径，并给出了成功案例分析。同时，本文还提出了政策建议，包括完善法律政策环境、加强监管和指导以及提高改造效率和效果等。

Abstract:The purpose of this study is to explore the theoretical basis, current situation analysis, existing problems, mode and path of the reform of the stock cooperative system of state-owned small and medium-sized enterprises. Through the review of relevant researches at home and abroad, this paper first introduces the definition and characteristics of state-owned smes, as well as the definition and characteristics of stock cooperative system. Then, it analyzes the development course of the reform of the stock cooperative system of state-owned small and medium-sized enterprises, and probes into its necessity and feasibility. Then, the present situation of the reform of the stock cooperative system of state-owned small and medium-sized enterprises is analyzed in detail, and the problems of slow progress and not obvious effect are pointed out. On this basis, this paper puts forward the existing problems in the reform of the stock cooperative system of state-owned smes, including unreasonable ownership structure, imperfect corporate governance mechanism and inadequate protection of employees' rights and interests. Finally, this paper puts forward the mode and path of reforming the share cooperative system of state-owned small and medium-sized enterprises, and gives an analysis of successful cases. At the same time, this paper also puts forward policy suggestions, including improving the legal policy environment, strengthening supervision and guidance, and improving the efficiency and effect of the transformation.
