本文首先概述了跨国并购的定义及文化差异的界定,为后续分析奠定了理论基础。在探讨文化视角下跨国并购的特点时,强调了文化差异显著性和文化整合的困难性,这两点构成了跨国并购中不可忽视的文化挑战。接着,文章深入分析了中国企业跨国并购的动因,主要包括绕过贸易壁垒以快速进入市场、获取战略性资源满足发展需求,以及通过并购提升技术创新能力和市场竞争力。这些动因反映了中国企业在全球化背景下寻求海外扩张的战略考量。然而,文化视角下中国企业跨国并购整合过程中也面临诸多问题。文化差异导致的沟通障碍,包括语言障碍和价值观冲突,严重阻碍了并购双方的有效沟通。文化冲突进一步引发了组织内部动荡,影响企业稳定。同时,文化整合策略不当和文化认同度低也是导致整合失败和并购后绩效不佳的重要原因。为应对这些问题,文章提出了相应的策略:加强跨文化培训,使用通用语言并寻求共同点以减少沟通障碍;建立组织包容性文化,促进文化融合;制定科学的文化整合策略,确保整合过程的顺利进行;并通过一系列措施增强文化认同,提高并购后的绩效水平。这些策略对于指导中国企业成功实施跨国并购并实现长远发展具有重要意义。

Abstract
This article first outlines the definition of cross-border mergers and acquisitions and the definition of cultural differences, laying a theoretical foundation for subsequent analysis. When exploring the characteristics of cross-border mergers and acquisitions from a cultural perspective, the significance of cultural differences and the difficulty of cultural integration are emphasized, which constitute cultural challenges that cannot be ignored in cross-border mergers and acquisitions. Furthermore, the article provides an in-depth analysis of the motivations behind cross-border mergers and acquisitions by Chinese enterprises, including bypassing trade barriers to quickly enter the market, obtaining strategic resources to meet development needs, and enhancing technological innovation capabilities and market competitiveness through mergers and acquisitions. These motivations reflect the strategic considerations of Chinese companies seeking overseas expansion in the context of globalization. However, from a cultural perspective, Chinese enterprises also face many problems in the process of cross-border mergers and acquisitions integration. The communication barriers caused by cultural differences, including language barriers and value conflicts, seriously hinder effective communication between both parties in mergers and acquisitions. Cultural conflicts further trigger internal turmoil within the organization, affecting the stability of the enterprise. Meanwhile, improper cultural integration strategies and low cultural identity are also important reasons for integration failure and poor performance after mergers and acquisitions. To address these issues, the article proposes corresponding strategies: strengthening cross-cultural training, using a common language, and seeking common ground to reduce communication barriers; Establish an inclusive culture of the organization and promote cultural integration; Develop scientific cultural integration strategies to ensure the smooth progress of the integration process; And through a series of measures to enhance cultural identity and improve the performance level after mergers and acquisitions. These strategies are of great significance in guiding Chinese enterprises to successfully implement cross-border mergers and acquisitions and achieve long-term development.
